Terms of Use

These Terms of Use ("Terms") govern your use of the Maestrly desktop application and website ("Service"), operated independently from Brazil ("Maestrly", "we", "us"). Use of the website is subject to these Terms. The application source is governed by the MIT License; these Terms do not restrict rights granted by that license.

1. What Maestrly is

Maestrly is a local-first desktop workspace for coordinating AI-assisted work across chats, models, agents, skills, tools, projects, and Git repositories. Maestrly is an orchestration and developer-productivity product. It is not an AI model or an AI provider.

Local-first does not mean local-only. Some features run or store project state on your device, while inference and connected services require network communication as described below and in our Privacy Policy.

2. Your AI providers, accounts, and APIs

Maestrly does not include or resell access to AI models. You must connect your own provider account, subscription, credits, or API credentials. Your use of each provider is governed by that provider's terms, privacy policy, prices, quotas, and acceptable-use rules.

Maestrly is independent and is not affiliated with, endorsed by, or sponsored by the AI providers, model owners, MCP servers, or other third-party services it may support. References to third-party names identify compatibility only.

Models and services may be changed, restricted, rate-limited, suspended, or unavailable by account, plan, region, or provider status. We do not control or guarantee their availability, pricing, outputs, or actions.

3. Processing and network boundaries

AI inference requests—including your prompt and the project context, files, tool information, or other content you choose to include—are sent directly from the Maestrly app to the provider you select. Responses return directly from that provider. The provider processes this data under its own terms and your account configuration; Maestrly has no hosted backend and does not resell inference.

Local and remote tools, MCP servers, and integrations may receive data and perform actions when you connect or authorize them. A local process may itself contact external services. You are responsible for reviewing each connection's scope and terms.

Maestrly App has no Maestrly account, hosted backend, license service, analytics, telemetry, automatic diagnostic upload, or automatic update channel. It is a 0.x source preview. Official binaries, when available, are only assets on tagged GitHub Releases; source builds and CI packages are not production releases. Support is best-effort, with no SLA, as described in SUPPORT.md.

4. Local profiles and provider credentials

No Maestrly sign-in is required. Provider authentication belongs to the provider and does not create a Maestrly account. You are responsible for your device, provider and connected-service accounts, credentials, and authorized actions. Do not embed secrets in prompts, agent instructions, or skills.

5. Free access and voluntary contributions

  • Maestrly is currently available free of charge, without a paid tier or paywall.
  • You may make an optional one-time or monthly contribution through Stripe. A contribution is voluntary and does not purchase product access, provider usage, credits, features, perks, or priority support.
  • Monthly contributions recur until canceled. You can manage or cancel future contributions through the Stripe Customer Portal linked from our contribution page.
  • Contributions are not represented as charitable or tax-deductible donations. You are responsible for checking any tax treatment that may apply to you.
  • If we introduce a paid product or materially change this model, we will provide separate notice. We will not automatically convert a contribution into a product subscription.

6. Acceptable use

You agree not to misuse the Service, including by violating law, infringing others' rights, disrupting the Service, gaining unauthorized access, bypassing security controls. You must comply with the rules of providers and connected services you use.

You are responsible for reviewing and approving actions that AI agents and connected tools take on your behalf, especially code execution, external communications, data changes, purchases, deployment, and destructive or irreversible actions.

7. Intellectual property

Maestrly App source is licensed under the MIT License. It permits use, copying, modification, distribution, sublicensing, and sale, subject to preserving its copyright and permission notices. These Terms do not replace or narrow that license. Dependencies, SDKs, runtimes, models, and derived code retain their own licenses or service terms; see third-party notices. Your code and content remain yours, subject to applicable third-party terms.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind. We do not warrant that the Service, third-party models, providers, tools, or integrations will be uninterrupted, available, accurate, complete, secure, or suitable for any purpose. You are responsible for reviewing outputs and for code, data, messages, purchases, or other actions committed, executed, sent, or deployed.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or revenue. Our total liability for any claim is limited to the amount paid specifically for the Service in the 12 months before the event giving rise to the claim. Voluntary contributions do not purchase the Service and are not a fee for access.

10. Termination

You may stop using the app at any time. Export supported local data before an explicit reset if you need a recoverable copy. Reset preserves repositories and worktrees. Profile removal does not erase backups, provider records, Git remotes, or independent credential stores. Manage those through their owning systems; see the Privacy Policy. There is no Maestrly account to deactivate or delete, and ending website use does not revoke the MIT permissions.

11. Changes

We may update these Terms. Material changes will be posted here with a new date and, where appropriate, communicated through the Service.

12. Governing law and contact

These Terms are governed by the laws of Brazil, without prejudice to mandatory consumer-protection rights in your country of residence. Questions: hello@maestrly.com.
